Terms And Conditions

1. INTRODUCTION & ACCEPTANCE

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “Customer”, or “Service Provider”) and PrimHive (Pty) Ltd (“PrimHive”, “we”, “us”, or “our”).

By accessing or using the PrimHive platform, you:

  • Confirm that you are 18 years or older
  • Agree to be bound by these Terms
  • Consent to our Privacy Policy and data processing practices

If you do not agree, you must immediately stop using the platform.

2. NATURE OF THE PLATFORM

PrimHive is a technology platform and marketplace facilitator only.

We:

  • Connect Customers with independent Service Providers
  • Do NOT employ, manage, or control Service Providers
  • Do NOT provide cleaning services ourselves

Key Legal Position:

  • Any service agreement is strictly between Customer and Service Provider
  • PrimHive is not a party to that agreement
  • We do not guarantee:
    • Quality of work
    • Availability
    • Suitability of providers

3. USER ACCOUNTS & RESPONSIBILITIES

Users agree to:

  • Provide accurate and truthful information
  • Maintain confidentiality of login credentials
  • Accept full responsibility for all activity on their account

PrimHive may suspend or terminate accounts for:

  • Fraudulent activity
  • Misrepresentation
  • Abuse of the platform

4. SERVICE REQUESTS & BOOKINGS

  • Customers submit service requests via the platform
  • Service Providers submit quotations
  • Customers may accept or reject any quote

Once accepted:

  • A direct contract is formed between Customer and Service Provider
  • PrimHive only facilitates communication

5. FEES & SUBSCRIPTIONS (SERVICE PROVIDERS)

  • Service Providers may be required to pay a subscription fee
  • Fees are:
    • Non-refundable
    • Not performance-based

PrimHive does not guarantee leads, bookings, or income.

6. REVIEWS & RATINGS

Users may leave reviews, which must:

  • Be truthful and based on actual experience
  • Not contain defamatory, abusive, or discriminatory content

PrimHive reserves the right to:

  • Remove reviews
  • Suspend accounts for misuse

7. BACKGROUND CHECKS & CONSENT

By registering, Service Providers:

  • Consent to background checks, including:
    • Criminal record screening
    • Identity verification
    • Business registration checks
  • Acknowledge that:
    • Verification is not a guarantee of reliability or safety
    • PrimHive is not liable for inaccuracies in third-party data

8. POPIA COMPLIANCE

8.1 Collection of Personal Information

We collect:

  • Identity details
  • Contact information
  • Business credentials
  • Usage data

8.2 Purpose of Processing

Your data is used to:

  • Facilitate connections between users
  • Verify identities
  • Improve platform performance
  • Communicate service-related updates

8.3 Consent

By using PrimHive, you:

  • Consent to the processing of your personal information
  • Consent to sharing limited information with other users where necessary

8.4 Data Sharing

We may share data with:

  • Service Providers / Customers (as required)
  • Verification agencies
  • Legal or regulatory authorities (if required by law)

8.5 User Rights

You have the right to:

  • Access your data
  • Request correction or deletion
  • Withdraw consent (may affect platform use)

9. LIMITATION OF LIABILITY

To the maximum extent permitted by South African law:

  • PrimHive shall not be liable for:
    • Any service failures by Service Providers
    • Injury, loss, or damages arising from services
    • Indirect or consequential losses
  • Including:
    • Loss of income
    • Business interruption
    • Reputation damage
  • Nothing excludes liability for:
    • Gross negligence
    • Fraud
    • Death or personal injury caused by negligence

10. INDEMNITY

  • Claims arising from misuse of the platform
  • Breach of these Terms
  • Disputes between Customers and Service Providers

11. SERVICE PROVIDER OBLIGATIONS

  • Deliver services with reasonable care and skill
  • Comply with all applicable laws
  • Maintain required licenses and insurance (if applicable)

They are solely responsible for:

  • Work quality
  • Staff conduct
  • Customer disputes

12. TERMINATION

  • PrimHive may suspend or terminate accounts:
    • Immediately for breach
    • If user activity harms platform reputation
    • If fraud or misconduct is suspected
  • Users may terminate their accounts at any time

13. INTELLECTUAL PROPERTY

All platform content belongs to PrimHive, including:

  • Branding
  • Website design
  • Technology

Users may not:

  • Copy
  • Reproduce
  • Commercially exploit content

14. GOVERNING LAW

These Terms are governed by the laws of the Republic of South Africa.
All disputes shall be resolved in South African courts.

15. CHANGES TO TERMS

PrimHive may update these Terms at any time.
Continued use of the platform = acceptance of updated Terms.
